Terms of Use

These terms are the agreement between you and Sahasro for using heyrem.app, the Sahasro dashboard, the AI assistant and the online stores built with them. Please read them with our Privacy Policy, which is part of them.

1. About these terms

Sahasro (“we”, “us”, “our”) runs the website https://heyrem.app, the Sahasro dashboard and AI assistant, and the online stores that merchants build with them (together, the “Platform”).

These Terms of Use and the Privacy Policy (together, the “User Agreement”) are an electronic record under the Information Technology Act, 2000 and the rules made under it, and need no physical or digital signature. They are published under Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

By creating an account, or by using the Platform in any way, you accept the User Agreement. If you do not agree to it, please do not use the Platform. If you accept it on behalf of a business or other organisation, you confirm that you are authorised to bind it.

2. Words we use

  • Merchant or you: a person or business with a Sahasro account who builds and runs a store.
  • Store: an online store a Merchant builds on the Platform, including its pages, products and policies.
  • Customer: anyone who visits a Store or buys from it. A Customer buys from the Merchant, not from Sahasro.
  • Services: what Sahasro provides: building and hosting Stores, the dashboard, the AI assistant, and connecting a Merchant’s own payment gateway.
  • Plan or Pack: a paid subscription to Sahasro, monthly or yearly, as listed on the Billing page.
  • AI credits: the units in which use of Sahasro’s AI features is measured and charged.
  • Payment Gateway: a licensed payment service such as Razorpay or Cashfree that a Merchant connects to take payments.
  • Law: any law, rule, regulation or order in force in India, or elsewhere where it applies to you.

3. Who can use Sahasro

You must be at least 18 years old and able to enter a binding contract under the Indian Contract Act, 1872. You must not use Sahasro if the Law forbids you from doing so, or if we have closed your account before.

4. Your account

  • Give us true, accurate and current information when you sign up, and keep it up to date.
  • Keep your password secret. You are responsible for everything done through your account, whether or not you did it yourself.
  • Tell us at once at hey@heyrem.app if you think someone else has used your account.
  • Do not pretend to be another person or business, and do not sell, transfer or share your account without our written permission.
  • We may contact you by email or in the dashboard about your account, your Store, billing and changes to Sahasro. These messages are part of the Services. We send promotional messages only if you have not opted out of them.

5. What Sahasro does, and does not do

Sahasro is a software platform. It helps you build, run and sell from your own online Store. Sahasro is not a marketplace and is not a party to any sale.

  • Every sale in a Store is a contract between the Merchant and the Customer alone. The Merchant decides the products, prices, taxes, delivery, returns, refunds and warranties.
  • Sahasro does not own, hold, inspect, store, ship or take possession of any product, and makes no promise about any product's quality, safety, legality or delivery.
  • Sahasro does not check who a Merchant or Customer is, and does not guarantee that any Merchant or Customer will complete a sale.
  • If a Customer complains to us about a Store, we will pass the complaint on to the Merchant and may share the Merchant's contact details with the Customer. Resolving it is the Merchant's responsibility.

6. Content written by AI

Sahasro’s assistant uses artificial intelligence to plan your Store, write its pages, product descriptions and policies, and make the changes you ask for. AI can make mistakes: it can misunderstand a request, state something that is not true, or produce text that does not fit your business.

  • Review everything the assistant writes before you publish it. You are responsible for your Store's content once it is published, whoever wrote it.
  • The policies Sahasro drafts for your Store (shipping and returns, terms, privacy) are a starting point, not legal advice. Make sure they match how you actually run your business.
  • Sample products and placeholder photos are there to show the layout. Replace them with your own before you sell.

7. Your responsibilities as a merchant

  • Sell only products and services you are legally allowed to sell, and that are not prohibited by the Law or by section 10.
  • Describe your products truthfully, with accurate prices, photos, specifications and stock. If what you deliver does not match its listing, refund the Customer.
  • Fulfil the orders you accept, on the terms shown in your Store.
  • Follow the Law that applies to selling online, including the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020: show your business details, prices including taxes, and your return, refund, exchange, warranty and grievance policies, and handle your Customers' complaints.
  • Hold the licences and registrations your business needs (for example FSSAI for food, or a drug licence for medicines) and pay your own taxes, including GST on your sales.
  • Keep the personal data of your Customers safe and use it only to serve their orders and as the Law allows.

8. Payments from your customers

Customers pay you directly, through your own account with a Payment Gateway. Sahasro does not collect, hold or remit your Customers’ money, and is not a payment aggregator, bank or trustee.

  • To take online payments, you connect your own Payment Gateway account to Sahasro. You authorise Sahasro to use that connection to create orders and check payments for your Store, and nothing else.
  • Your agreement with the Payment Gateway governs your payments: its fees, when it pays you, refunds, chargebacks and disputes. Settle those with your Customer and the Payment Gateway directly.
  • Sahasro stores the access granted by your Payment Gateway in encrypted form. You can disconnect it at any time from the Payments page or from your Payment Gateway's own dashboard.
  • Sahasro is not responsible for a payment that fails, is declined, is delayed or is reversed by a bank or Payment Gateway.
  • A Store needs a connected Payment Gateway before it can be published. If the connection stops working, your Store may be unable to take online payments until you reconnect it.

9. Plans, AI credits and fees

  • Every account starts with a free trial. After it, you need a paid Plan to keep using the dashboard. Your published Store stays online for your Customers while you decide.
  • The Plans, their prices and what each includes, such as how many products can be live at once, are shown on the Billing page. Prices are in Indian Rupees and include GST unless stated otherwise.
  • A Plan runs for the period you paid for (a month or a year) and does not renew unless you pay again or set up automatic renewal.
  • AI credits pay for Sahasro's AI features. Each action is charged what it actually cost in AI, so similar requests can use different amounts. Credits that come with a Plan expire at the end of its period; credits you buy separately do not expire.
  • Sahasro may charge a fee for each order placed in your Store. Before any such fee applies to you, we will show its amount and how it is charged on the Billing page, and tell you.
  • Payments to Sahasro are not refundable, except where the Law requires a refund or we tell you otherwise in writing.
  • We may change our prices, Plans and fees. A change will not affect a period you have already paid for.

10. What you must not do

You must not host, display, upload, publish, transmit, store, update, share or sell, on or through the Platform, anything that:

  • belongs to someone else and that you have no right to use;
  • is obscene, pornographic, paedophilic, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, racially or ethnically objectionable, relating to or encouraging money laundering or gambling, or promoting enmity between groups on the grounds of religion or caste with the intent to incite violence;
  • is harmful to children;
  • infringes any patent, trademark, copyright or other proprietary right;
  • deceives or misleads about where a message came from, or knowingly and intentionally communicates misinformation or information that is patently false and untrue or misleading in nature;
  • impersonates another person;
  • threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order, or incites any offence, prevents the investigation of any offence, or insults any other nation;
  • contains software viruses or any other code, file or program designed to interrupt, destroy or limit the functioning of any computer resource;
  • is an online game that is not verified as a permissible online game, or advertises or promotes one;
  • offers a product or service whose sale is banned or restricted by the Law, such as narcotics, weapons, counterfeit or stolen goods, wildlife products, or prescription medicines without the required licence; or
  • violates any Law for the time being in force.

You must also not:

  • try to get into accounts, Stores, systems or data that are not yours, or probe, scan or test the Platform's security;
  • scrape, copy or monitor the Platform with bots or other automated means, except search engines indexing published Stores;
  • interfere with the Platform or put an unreasonable load on it;
  • use the Platform to send spam or unsolicited messages; or
  • use the Platform to build a competing product, or copy its design or features.

If you see something on the Platform that breaks these rules, please tell us at hey@heyrem.app. We may remove or disable access to such content, and will do so within the time the Law requires when we are told about it by a court or a government agency.

11. Your content and ours

  • You own the content you put on the Platform: your business name, products, photos, text and Customer data. Content the AI assistant writes for your Store is yours to use too.
  • So that we can run the Services, you give Sahasro a non-exclusive, worldwide, royalty-free licence to host, copy, process, adapt, display and publish your content, and to send it to our service providers (including AI providers) for that purpose. The licence ends when your content is deleted, except for copies we must keep by Law or in routine backups.
  • You confirm that you have the rights to all content you upload, and that it does not infringe anyone else's rights.
  • Sahasro owns the Platform: its software, design, templates, the name and logo "Sahasro", and everything else that is not your content. You may not copy, modify, resell or reverse-engineer it.
  • If you send us ideas or feedback, we may use them without owing you anything.

12. Services from other companies

The Platform relies on services from other companies, such as hosting, databases, AI models, speech recognition and Payment Gateways, and Stores may link to other websites. Those companies have their own terms, and we are not responsible for their services, content or availability.

13. Suspension and closing an account

  • We may suspend or close your account, unpublish your Store, or remove content, with or without notice, if you break the User Agreement or the Law, if a court or government agency requires it, or to protect Customers, other Merchants or Sahasro.
  • We may also stop offering the Services, or any part of them. If we stop offering Sahasro altogether, we will tell you in advance where we can.
  • You may close your account at any time by writing to hey@heyrem.app. Closing it takes your Store offline. It does not cancel what you owe for the period before it was closed.
  • After an account is closed we may delete its content and data, except what we must keep by Law. Download anything you need before you close it.
  • Sections that by their nature should continue (such as fees owed, ownership, disclaimers, limits on liability, indemnity and disputes) continue after the account is closed.

14. Disclaimers

The Platform is provided “as is” and “as available”. We work to keep it reliable and secure, but we do not promise that it will always be available, error-free or secure, that content written by AI will be accurate, or that using Sahasro will bring you any number of sales. Some features may be new or still being improved. To the fullest extent the Law allows, we disclaim all other warranties, express or implied.

15. Limits on our liability

To the fullest extent the Law allows, Sahasro will not be liable for any indirect, incidental, special, consequential or exemplary loss, or for any loss of profits, revenue, sales, data, goodwill or business, arising from or related to the Platform, a Store, a Payment Gateway or any sale between a Merchant and a Customer.

In all other cases, Sahasro’s total liability to you for all claims is limited to the amount you paid Sahasro in the 12 months before the event that gave rise to the claim.

16. Indemnity

You will indemnify and hold harmless Sahasro and the people who work for it from any loss, liability, claim, penalty or expense (including reasonable legal fees) that arises from your Store, your products, your dealings with Customers, your content, or your breach of the User Agreement or the Law.

17. Changes to Sahasro and to these terms

We may update the Platform and these terms from time to time. We will publish the new terms on this page with a new effective date, and tell you by email or in the dashboard before a change that materially affects your rights takes effect. If you keep using Sahasro after a change takes effect, you accept the updated terms. If you do not accept them, you may close your account.

18. Complaints and the Grievance Officer

If you have a complaint about the Platform, another user, content on the Platform, or how we have handled your account or data, write to our Grievance Officer:

Please include your name, the email of your Sahasro account (if you have one), what happened and any links or screenshots that help. We will acknowledge your complaint within 24 hours and aim to resolve it within 15 days of receiving it. We may need more information from you to do so.

Complaints about a product or an order bought from a Store should go to that Store’s Merchant first, whose contact details are on the Store.

19. Governing law and disputes

The User Agreement is governed by the laws of India. If a dispute arises, please write to us first: most problems can be solved that way. A dispute we cannot settle within 30 days of your writing to us may be taken to the courts in India that have jurisdiction over it.

20. General

  • The User Agreement is the whole agreement between you and Sahasro about the Platform, and replaces any earlier one.
  • If any part of it is found invalid or unenforceable, the rest stays in force, and that part is applied as far as the Law allows.
  • If we do not enforce a right, we have not given it up.
  • We may transfer the User Agreement to a company that takes over Sahasro or its business. You may not transfer it without our written permission.
  • Neither of us is responsible for a failure caused by events beyond reasonable control, such as natural disasters, outages of networks or providers, or government action.
